Introduction
These Reseller Terms ("Terms") govern the relationship between FFbot Technologies ("FFbot", "we", "us"), and any person or entity that registers as a reseller of the FFbot AI voice-calling platform ("Reseller", "you"). By registering, purchasing a license, or using any FFbot reseller feature, you agree to these Terms in full.
These Terms apply in addition to the FFbot General Terms of Service and Privacy Policy. In the event of any conflict, these Terms prevail for reseller matters.
1. Definitions
- Platform means the FFbot AI voice-calling software-as-a-service, including the reseller dashboard, end-user console, number marketplace, and related APIs.
- Wholesale Rate means the per-minute (or per-second) usage price charged to the Reseller, as displayed in the Reseller dashboard from time to time. The default Wholesale Rate is USD 0.01/minute.
- End User means any third party that the Reseller licenses or resells the Platform to, under the Reseller's own brand.
- White Label means the right to rebrand the Platform (domain, logo, theme, templates) so that End Users see the Reseller's brand rather than FFbot's.
- Balance means the prepaid usage credit held in the Reseller's account.
- Concurrent Line means one simultaneously active outbound calling session.
- Number means a phone number claimed from the FFbot Number Marketplace or connected by the Reseller via SIP trunk.
2. Reseller Authorization
2.1 Subject to payment of the applicable license fee and compliance with these Terms, FFbot grants the Reseller a non-exclusive, non-transferable, worldwide right during the license term to:
- (a) market, sell and distribute access to the Platform to End Users; and
- (b) use the White Label features included in the Reseller's tier.
2.2 The Reseller may set its own prices to End Users, subject to any Minimum Advertised Price (MAP) configured by FFbot from time to time and displayed in the Reseller dashboard.
2.3 The Reseller may not: resell or sublicense the Platform except as expressly permitted; reverse engineer the Platform; represent FFbot itself as the seller of the Platform; or use the Platform for any illegal purpose.
3. Tiers & License Fee
3.1 FFbot offers three Reseller tiers — Silver, Gold and Diamond — with the features and license fees published on the FFbot website (ffbot.cc) or the Reseller dashboard.
3.2 License fees are charged on an annual basis. Monthly billing is not available.
3.3 FFbot may add, modify or remove tiers, features and fees upon notice; changes apply from the next renewal.
4. Prepaid Balance & Usage Billing
4.1 Usage is billed against the Reseller's prepaid Balance. The minimum initial top-up is USD 500 (or such amount as configured by FFbot in the admin panel).
4.2 Usage is metered per actual second of talk time at the Wholesale Rate, subject to a configurable minimum billable duration. Fractional minutes are not rounded up to whole minutes.
4.3 Top-ups can be made by bank transfer, wire, or any online payment method FFbot enables from time to time. FFbot credits the Balance after confirmed receipt of funds.
4.4 When the Balance reaches zero, service is paused until a new top-up is received. FFbot may, at its discretion, auto-top-up the Balance under an auto-refill setting.
4.5 The Wholesale Rate, minimum billable seconds, and minimum top-up amount may be adjusted by FFbot in the admin panel; such changes are published in the dashboard before taking effect.
5. End-User Pricing & MAP
5.1 The Reseller sets its own retail prices, and keeps the full margin between the retail price and the Wholesale Rate.
5.2 If a MAP is set, the Reseller must not advertise or charge End Users a per-minute price below the MAP. Breach of MAP is a material breach of these Terms.
6. White Label & Branding
6.1 White Label rights depend on the Reseller's tier:
- Silver: fixed retail price; limited branding (logo and theme).
- Gold: own pricing and white-label OEM (custom domain, logo, theme).
- Diamond: own pricing, full OEM, and priority support.
6.2 Custom-domain setup (Reseller's own domain, or sub-domain of FFbot's base domain) is configured by FFbot. FFbot reserves the right to charge a one-time setup fee (e.g., USD 100 per custom domain, configurable in the admin panel).
6.3 The Reseller is responsible for the lawful content, messaging and materials displayed to End Users under its brand.
7. Sub-Agents
7.1 A Reseller may develop its own sub-agents (second-level resellers) within its account, at its own discretion.
7.2 Usage and balances of sub-agents roll up into the Reseller's account. The Reseller is fully responsible for its sub-agents' compliance with these Terms and for any losses caused by them.
7.3 The Reseller may set pricing for sub-agents. Sub-agent custom domains require FFbot's configuration and may be subject to the setup fee in clause 6.2.
8. Number Marketplace & SIP Trunks
8.1 Numbers may be claimed from the FFbot Number Marketplace. Each claimed Number occupies one Concurrent Line. Marketplace numbers are billed monthly (USD X per number per month, configurable in the admin panel) and auto-deducted from the Balance.
8.2 The Reseller may bring its own SIP trunk / third-party carrier lines for outbound calls to the US and other markets, including lines restricted to numbers with prior consent where applicable for marketing campaigns.
8.3 For marketing use, the Reseller must upload and maintain evidence of End-User consent (fields agreed with End Users) as required by FFbot and applicable law.
9. Compliance Obligations
9.1 AI-disclosure: all outbound calls made through the Platform disclose the AI nature of the call as required by law (e.g., US TCPA and FCC rules on artificial/prerecorded voice).
9.2 The Reseller is responsible for ensuring its calling practices comply with all applicable laws in the jurisdictions where it operates, including but not limited to: TCPA, FCC regulations, Do-Not-Call (DNC) rules, calling-time windows, and consent requirements.
9.3 The Platform includes DNC handling, time-window restrictions, recording and audit-trail features. The Reseller must configure and use these features properly and must not attempt to circumvent them.
9.4 The Reseller indemnifies FFbot against any claim, loss or fine arising from the Reseller's or its End Users' calling practices, content, or marketing campaigns, to the extent permitted by law.
10. Data & Privacy
10.1 Call recordings, transcripts and End-User data processed through the Platform are processed in accordance with the FFbot Privacy Policy and applicable data protection law.
10.2 The Reseller must comply with its own obligations under GDPR, CCPA and other privacy laws in respect of its End Users, and must not use the Platform to process data unlawfully.
11. Payment & Invoicing
11.1 License fees and top-ups are payable in USD. Acceptable methods: wire / bank transfer to FFbot's designated account, or online payment if enabled.
11.2 FFbot issues an invoice or receipt for each payment. The Reseller acknowledges that payments may be made to FFbot's account in mainland China, and that the Reseller remains responsible for its own tax and FX obligations.
12. Intellectual Property
12.1 The Platform, its software, documentation and FFbot brand remain the property of FFbot. Nothing in these Terms transfers ownership of FFbot IP.
12.2 The Reseller's brand, logo and End-User-facing materials remain the property of the Reseller.
13. Term & Termination
13.1 The license term is one year from activation, renewable annually.
13.2 FFbot may suspend or terminate these Terms immediately upon material breach, including but not limited to: non-payment, MAP breach, illegal calling, circumvention of compliance features, or unauthorized use of the Platform.
13.3 Upon termination: the Reseller must cease using the Platform and FFbot branding; the unused portion of the Balance (if any) will be refunded less any outstanding charges, at FFbot's discretion.
14. Limitation of Liability
14.1 To the maximum extent permitted by law, FFbot's total liability under these Terms is limited to the amounts paid by the Reseller to FFbot in the 12 months preceding the claim.
14.2 FFbot is not liable for indirect, incidental, consequential or punitive damages, including loss of profits, revenue or data.
15. Warranty Disclaimer
15.1 The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
15.2 FFbot does not guarantee uninterrupted availability, error-free operation, or that outbound call delivery will be successful on any particular carrier or number.
16. Governing Law & Dispute Resolution
16.1 These Terms are governed by the laws of the People's Republic of China.
16.2 Any dispute arising out of these Terms shall be resolved through friendly negotiation; failing that, the dispute shall be submitted to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), in accordance with its rules, in Hong Kong. The arbitration award is final and binding.
17. Amendments & Notice
17.1 FFbot may update these Terms from time to time. Continued use after notice of updated Terms constitutes acceptance.
17.2 Notices under these Terms are given by email to the Reseller's registered email address, or by posting in the Reseller dashboard.
18. Miscellaneous
18.1 These Terms, together with the FFbot General Terms of Service and Privacy Policy, constitute the entire agreement between the parties regarding reseller use of the Platform.
18.2 If any provision is found unenforceable, the remaining provisions remain in full force.
18.3 No waiver of any breach is a waiver of any other breach.
18.4 The Reseller may not assign these Terms without FFbot's prior written consent.
